Website Hosting and Service Agreement

This agreement governs website hosting, subscription websites and related services provided by SmartNetic Pty Ltd.
1. Services Provided
SmartNetic provides:
• website hosting
• website development
• maintenance
• domain management
• software systems
2. Subscription Website Packages
Some services operate on a monthly subscription model and remain active while payments are current.
3. Payment Terms
Subscriptions are billed monthly in advance.
4. Non‑Payment
If payment is overdue:
• after 7 days services may be suspended
• after 30 days services may be terminated
5. Website Ownership
For subscription packages:
The website, code and infrastructure remain the property of SmartNetic.
Clients receive the right to use the website while the subscription remains active.
6. Website Updates
Minor updates include:
• text edits
• image replacements
• small content adjustments
Major changes may be quoted separately.
7. Acceptable Use
Services may not be used for:
• illegal activities
• malware distribution
• phishing
• cryptocurrency mining
• spam
8. Hosting Infrastructure
SmartNetic may use third‑party infrastructure providers.
9. Data and Backups
Reasonable backups may be performed but data recovery cannot be guaranteed.
10. Cancellation
Clients may cancel services with 30 days written notice.
11. Limitation of Liability
SmartNetic shall not be liable for losses resulting from downtime, cyber incidents or third‑party failures.
12. Governing Law
This agreement is governed by South African law.
13. Website Files and Source Code
Websites built under subscription remain SmartNetic intellectual property.
Source code or files are not automatically transferred upon cancellation.
14. Scope of Website Updates
Subscription services do not include unlimited development work.
SmartNetic may determine whether requests fall within minor updates.
15. Acceptable Use and Hosting Abuse
Hosting may not be used for spam, phishing, malware, or cryptocurrency mining.
Services may be suspended immediately if abuse is detected.
16. Emergency Suspension
SmartNetic may suspend services without notice to protect infrastructure or respond to security threats.
17. Domain Management and Non‑Payment
Domains may be registered or managed by SmartNetic.
If accounts are overdue SmartNetic may suspend services or DNS configuration until invoices are settled.
18. DNS Configuration and Infrastructure Control
DNS changes or domain transfers may require all invoices to be settled first.
SmartNetic may delay or decline DNS changes where security or unpaid accounts are involved.
